Quotations & Contractual Formation
Any estimated structural pricing summary output by our web interfaces or emailed by our engineering desk represents an Invitation to Treat.
- Quotation Validity: Formal, itemised written proposals generated after an official layout evaluation remain valid for exactly 30 calendar days from transmission.
- Binding Contract Trigger: A binding legal contract to execute build or service operations forms solely when you supply documented confirmation of our Quotation and remit the defined initial Stage-1 preliminary layout deposit.
- Scope Fluctuations: If unmapped structural hurdles (e.g. non-standard solid masonry or unlisted utility routing paths) emerge during site opening, we reserve the right to append documented variation orders reflecting the actual mechanical labour required.
Engineering Standards & Mutual Obligations
Aura Vent Ltd guarantees that physical installations will be executed by fully credentialed mechanical engineers aligning strictly with UK Building Regulations Approved Document Part F and compliant with BESA DW/143 ductwork integrity standards.
Client Access Obligations
The client must ensure safe, clear, and unhindered access to all structural pathways (joists, loft cavities, external wall routing points) during designated commissioning dates. Continuous single-phase mains electricity and basic lighting must be operational on site.
Hazardous Environments Notice
If our technicians identify suspected hazardous structures (such as asbestos-containing insulating boards) during core drilling, operations will pause instantly. The client assumes sole administrative and financial responsibility for independent environmental testing and abatement before mechanical works can safely resume.
Fiscal Scheduling & Payment Logistics
All final contract sums are subject to prevailing UK Value Added Tax (VAT) rates unless supported by valid HMRC zero-rating or reduced-rating certification for residential energy upgrades supplied upfront by the client.
- Standard Milestone Structure: Typically scheduled as a preliminary materials deposit upon design freeze, intermediate milestone disbursements matching equipment staging, and final balance due immediately upon practical commissioning and testing handover.
- Late Settlement Protocols: Under the provisions of the Late Payment of Commercial Debts (Interest) Act 1998, outstanding commercial accounts overdue beyond 14 continuous days accrue statutory cumulative interest calculated at 8% above the Bank of England base rate, alongside associated formal recovery administration charges.
- Retention of Title: All physical mechanical hardware, extractor units, structural manifolds, and rigid duct assemblies remain the absolute property of Aura Vent Ltd until final ledger balances are fully remitted and cleared into our institutional routing accounts.
Statutory Consumer Rights & Cancellation Frameworks
If you are contracting with us strictly as a residential Consumer (under non-commercial intentions), your statutory rights are governed comprehensively by the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.
Limitation of Structural Liability
Nothing in these Terms seeks to exclude or cap liability for personal physical death or bodily harm triggered directly by our internal operational negligence, nor for fraudulent contract misrepresentation.
Subject to mandatory consumer protections, our parameters of operational liability conform to the following institutional limits:
- Commercial Caps: In respect to business-to-business implementations, Aura Vent Ltd's maximum collective liability for physical property damage or contract execution anomalies is restricted absolutely to the core total sum remitted for that specific work package.
- Indirect & Consequential Losses: We are not legally accountable for indirect revenue losses, extended project delays stemming from independent third-party trade execution failure, or alternative rental accommodations incurred during maintenance routing.
- Pre-Existing Structural Conditions: We accept zero operational liability for resolving underlying building envelope defects, ingress of rainwater, or structural condensation caused by unventilated cold-bridged construction fabrics pre-dating our mechanical installations.
Governing Law & Exclusive Jurisdiction
Every facet of these Terms of Service, associated contractual delivery documentation, or continuous site maintenance schedules shall be strictly governed by, interpreted under, and executed in accordance with the laws of England and Wales.
The contracting parties irrevocably agree that any arbitration, structural disputes, or payment claim escalations arising out of or connected to our implementations fall under the sole, exclusive jurisdiction of the Courts of England and Wales.
